1. Agreement to Terms

By downloading, installing, or using the Alice mobile application (the "App"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not use the App.

For Parents/Guardians: If the App is being used by a minor under the age of 18, you represent that you are the parent or legal guardian and agree to these Terms on behalf of the minor.

2. Description of Service

Alice is an educational application designed to facilitate multisensory learning through pattern recognition, rhythm, and mathematical exploration. The App is part of the PrimeSense™ Ecosystem developed by Intellivance LLC ("Intellivance," "we," "our," or "us").

Key Features:

• Interactive learning activities combining math, music, and language
• Pattern-based cognitive training exercises
• Adaptive difficulty progression
• Session tracking and progress monitoring (stored locally on device)

3. License Grant

Subject to your compliance with these Terms, Intellivance grants you a limited, non-exclusive, non-transferable, revocable license to:

• Download and install the App on devices you own or control
• Use the App for personal, non-commercial, educational purposes 

Restrictions: You may NOT:

• Copy, modify, or create derivative works of the App
• Reverse engineer, decompile, or disassemble the App
• Remove, alter, or obscure any proprietary notices
• Use the App for any commercial purpose without written permission
• Rent, lease, lend, sell, or redistribute the App
• Use the App in any way that violates applicable
  laws or regulations

4. Intellectual Property Rights

The App and all content, features, and functionality (including but not limited to software, text, graphics, logos, icons, images, audio, and design) are owned by Intellivance and are protected by United States and international copyright, trademark, patent, trade secret, and other
intellectual property laws.

PrimeSense™ and related marks are Trademarks of Intellivance LLC.

The harmonic integer lattice, Goldbach Clock, Africa-n indexing system, and other mathematical frameworks embodied in the App are proprietary intellectual property of Intellivance.

5. User Responsibilities

You agree to:

• Use the App in accordance with these Terms and all applicable laws
• Supervise minors using the App
• Not use the App in any manner that could damage, disable, or impair the App
• Not attempt to gain unauthorized access to any portion of the App
• Provide accurate information if any optional features require input
• Maintain the security of your device

6. Educational Purpose and Limitations

Important Notice: Alice is an educational tool
designed to support learning. It is NOT:

• A substitute for professional educational
  assessment or intervention
• A diagnostic tool for learning disabilities or developmental conditions
• A replacement for qualified educational instruction
• A medical device or therapeutic intervention
• Guaranteed to produce specific learning outcomes

Parental Guidance: We recommend parental involvement and supervision, particularly for younger children. Results may vary based on individual learning styles, developmental stages, and consistent practice.

7. Privacy and Data

Please refer to our Privacy Policy for information about how we handle data. In summary:

• We do NOT collect or transmit personal information
• All data is stored locally on your device
• Uninstalling the App deletes all associated data
• We comply with COPPA, GDPR, and CCPA
  requirements

8. Third-Party Services and Links

The App currently does not integrate third-party services. If future versions include links to third-party websites or services, we are not responsible for their content or practices. Your use of third-party
services would be governed by their terms and privacy policies.

9. Updates and Modifications

We reserve the right to:

• Modify, suspend, or discontinue the App at any time
• Update the App to fix bugs, add features, or improve performance
• Change these Terms with notice to users

Updates: We may provide updates through the App Store. While updates are optional, some features may require the latest version.

Notification of Changes: Material changes to these Terms will be communicated through:

• In-app notifications
• Updated "Last Updated" date
• Email (if we have your contact information from support inquiries)

Continued use after changes constitutes acceptance of modified Terms.

10. Disclaimers and Limitation of Liability

AS-IS BASIS:

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

 NO GUARANTEE OF RESULTS:

We do not warrant that:

• The App will meet your specific requirements or expectations
• The App will be uninterrupted, timely, secure, or error-free
• Any errors or defects will be corrected
• The App will produce specific educational outcomes

LIMITATION OF LIABILITY:

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INTELLIVANCE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the App
• Any unauthorized access to or use of the App
• Any bugs, viruses, or other harmful code
• Any content or conduct of any third party
• Any other matter relating to the App

TOTAL LIABILITY CAP:

In no event shall Intellivance's total liability to you for all damages exceed the amount you paid for the App (if any) in the twelve (12) months preceding the claim.

JURISDICTION-SPECIFIC RIGHTS:

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In such jurisdictions, the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless Intellivance, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including
reasonable attorneys' fees) arising out of or in any way connected with:

• Your access to or use of the App
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of any applicable laws or regulations

12. Children's Use (COPPA Compliance)

Parental Consent: If you are under 13 years of age, you must have your parent or guardian's permission to use the App.

For Parents: By allowing your child to use Alice, you
consent to these Terms on their behalf. We do not knowingly collect personal information from children under 13.

Age Verification: We do not use age gates or verification systems because we do not collect personal information.

13. Termination

By You: You may stop using the App at any time by uninstalling it from your device.

By Us: We reserve the right to:

• Terminate or suspend your access to the App immediately, without notice, for any reason
• Discontinue the App entirely

Effect of Termination:

• Your license to use the App will immediately terminate
• You must cease all use and delete the App from your devices
• Sections of these Terms that by their nature should survive termination shall survive

14. Geographic Restrictions

The App is intended for use worldwide. However, we make no representation that the App is appropriate or available for use in all locations. If you access the App from outside the United States, you do so at your own risk and are responsible for compliance with local laws.

15. Apple App Store Terms

If you downloaded the App from the Apple App Store, you acknowledge and agree that:

These Terms are between you and Intellivance, not Apple

• Apple has no obligation to furnish maintenance or support services
• Apple is not responsible for any product warranties
• Apple is not responsible for addressing any claims relating to the App
• Apple is a third-party beneficiary of these Terms and may enforce them

16. Dispute Resolution

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

Informal Resolution: Before filing a claim, you agree to try to resolve the dispute informally by contacting us at hello@intellivance.com.
We will attempt to resolve the dispute informally within 60 days.

Binding Arbitration:

If informal resolution fails, any dispute arising out of or relating to these Terms or the App shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association.

Exceptions to Arbitration:

• Either party may seek injunctive relief in court
• Either party may bring an action in small claims court
• Claims of intellectual property infringement

Class Action Waiver: You agree that any arbitrationor court proceeding shall be limited to the dispute between you and Intellivance individually. To the full extent permitted by law, no arbitration
or court proceeding shall be joined with any other or proceed on a class-action basis.

Opt-Out: You may opt out of arbitration by sending written notice to hello@intellivance.com within 30 days of first using the App.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

18. Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Intellivance regarding the App and supersede all prior agreements and understandings.

21. Acknowledgment

BY USING ALICE, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE APP.
